5. Our Services
The Company provides reception desk services built around six working stations, which are Call Sheet Bays, Visitor Note Runs, Client Letter Desks, Queue Windows, Ring Review Rounds and Desk Sittings. Each station is described on our services page. The description on the website is an introduction and does not by itself create an obligation to deliver a particular result.
Where a client engages us, the scope, the deliverable and the timeline are set out in a written engagement. We perform the services with reasonable skill and care and in line with the standards described in the engagement. We may adjust working methods during an engagement where an adjustment improves the reliability of the desk, provided that we agree the change with the client in writing before the change takes effect.
6. Engagements and Proposals
A conversation at the counter, a message through the website and a written enquiry are welcome, and none of them creates a binding engagement by itself. An engagement begins when we issue a written proposal and the client accepts it in writing, or when both parties sign a service agreement.
Unless an engagement says otherwise, a proposal remains open for thirty days from the date it is issued. Once accepted, the engagement replaces any earlier discussion about the same services. Where the client wishes to change the scope, a written change note is agreed before the extra work begins, so that both parties understand the effect on the timeline and the fee.
7. Client Responsibilities
The quality of a reception desk depends on the cooperation of the client. The client agrees to provide accurate details about the desks, the routing rules and the people who will receive records, to nominate a single point of contact, and to make the premises available at the agreed hours for observation, installation and review.
The client also agrees to inform us promptly of any change that affects the desk, such as a change of staff, a change of address or a new legal duty that touches the records. Where the client supplies personal information about its own visitors, the client confirms that it has the right to share that information and that it has given the notices required by the law that applies to it. The Company acts on the written instruction of the client when it processes records on the client premises.
8. Reception Records and Desk Conduct
Reception records created at our office belong to the Company, and we keep them in line with the privacy policy published on this website. Reception records created at a client premises belong to the client, and we hold them only as a processor acting on the written instruction of that client.
Both parties agree to treat the records with care. A record is never disclosed to a person who has no need to see it, and a note is never left in a public area. Where a review round finds a weakness in the handling of a record, the weakness is recorded and repaired before the next guest arrives. The client agrees not to ask us to handle a record in a way that would breach the law or the privacy policy.
9. Fees and Payment
The fees for our services are set out in the engagement. Unless the engagement says otherwise, invoices are issued monthly in advance for a continuing service and on completion for a fixed piece of work. Invoices are payable within thirty days of the date of issue.
Where a payment is late, we may charge interest at the rate stated in the engagement or, where no rate is stated, at the rate permitted by the law that applies. We may also pause a service that has been unpaid for more than sixty days, after giving written notice, and we will resume the service once the outstanding amount is settled. A client may not set off an amount against an invoice unless the engagement expressly permits it.
Fees are exclusive of any tax that the law requires us to add, and the client agrees to pay that tax at the rate that applies on the invoice date.
10. Intellectual Property
The website, its text, its design and its code are owned by the Company and are protected by the intellectual property laws that apply. The desk methods, templates, call sheet formats and review protocols that we develop remain the property of the Company unless an engagement assigns them to the client in writing.
Where an engagement includes a customisable template, the client receives a licence to use that template for the agreed desks and the agreed term. The client may not resell the template, publish it as its own product or sub license it to another organisation without our written permission. Any data that the client supplies to us remains the property of the client, and we use it only to deliver the engagement.
11. Confidentiality
Both parties agree to keep confidential the information that is shared in the course of an engagement and that a reasonable person would treat as confidential. This includes the routing rules of a client, the contents of a client letter, the findings of a ring review round and any commercial term of the engagement.
The duty of confidence does not apply to information that is already public, that the receiving party already holds without a duty, that is independently developed without the use of the confidential material, or that a law or a court requires a party to disclose. Where a disclosure is required by law, the party required to disclose will give the other party prompt notice where that is lawful and practical.
The duty survives the end of the engagement for as long as the information remains confidential and, in any case, for a period of three years after the engagement ends.
12. Third Party Materials
Our pages may refer to a third party product, a supplier or a standards body. A reference is provided for information and does not amount to an endorsement unless we say so explicitly. The Company does not control a third party website and is not responsible for its content, its availability or its handling of personal information.
Where a service uses a third party component, such as a hosting platform or an email service, the client agrees that the component operates under the terms of its own provider. We select providers with reasonable care and we pass on to the client any term that materially affects the client.
13. Submissions to the Desk
When you send a message, a letter or a call note to the reception desk, you confirm that the information is accurate and that you have the right to share it. You agree not to send material that is unlawful, that infringes the rights of another person, or that contains malicious code.
We treat a submission as a request to be routed, not as a binding instruction, until the desk confirms that it has been received and assigned. A message that arrives outside business hours is logged on the next working morning, and the reply names the desk that owns the request. Please keep a copy of any important document that you send, because the desk archive is maintained for the periods described in the privacy policy and is not an indefinite storage service.
14. Service Availability
We work to keep the website and the desk available during the business hours published on the contact page. The website is provided on an as available basis, and we do not promise uninterrupted access. A planned maintenance window is announced in advance where practical, and we aim to keep any interruption short.
Where a service depends on a system that is outside our control, such as a public network or a hosted email platform, an interruption may extend beyond our own maintenance window. In that case we keep the physical desk working, because the bell still rings, the book still opens and the call sheet still travels by hand while the system recovers.
15. Disclaimers
Except where the law does not allow it to be excluded, the website and its content are provided without a warranty of any kind, whether express or implied, including a warranty of fitness for a particular purpose, accuracy or non infringement. The content is general information about our practice and is not professional advice for a specific matter.
We describe the reception desk with care, but a description on the website is not a guarantee that a particular station will produce a particular outcome for a particular client. The scope of each engagement controls what we promise, and nothing on the public website adds a promise beyond that scope.
16. Limitation of Liability
To the fullest extent that the law permits, the Company is not liable for indirect or consequential loss, for loss of profit, for loss of goodwill or for loss of data that arises out of the use of the website or a service, whether the claim is based on contract, on tort or on any other theory.
Where liability cannot be excluded, the total liability of the Company in respect of an engagement is limited to the fees paid by the client for that engagement in the twelve months before the event that gave rise to the claim. This limit does not apply to a liability that the law does not permit to be limited, such as a liability for fraud or for death or personal injury caused by negligence.
Both parties agree that the exclusions and the limit in this section are a reasonable allocation of risk given the nature of the services and the fees charged.
17. Indemnity
The client agrees to indemnify the Company against a claim, a loss or an expense that arises from information supplied by the client that was inaccurate, from the client use of a record in a way these terms do not permit, or from the client failure to give a notice that the law requires for the personal information of its visitors.
The Company agrees to indemnify the client against a claim that a template we supplied infringes the intellectual property of another person, provided that the client tells us promptly, allows us to control the defence and does not settle the claim without our written agreement.
18. Term and Termination
An engagement runs for the term stated in it. Where no term is stated, it runs until either party ends it with thirty days written notice. A party may end an engagement immediately with written notice where the other party commits a material breach and does not repair it within fifteen days of a written request, where the other party becomes insolvent, or where a law makes the engagement unlawful.
At the end of an engagement the client pays for the services delivered up to the end date, we hand over the reception records that belong to the client, and each party returns or destroys the confidential material of the other in line with the agreed retention rules. A provision that by its nature is meant to survive, including the confidentiality, the intellectual property, the limitation of liability and the governing law provisions, continues to apply after the engagement ends.
19. Governing Law and Disputes
These terms are governed by the law of the People of China as it applies in the place where the Company is established, at No 2, 1/F, Block 1 Zone C, No 9 North 4th Section 2nd Ring Road, Chenghua District, ChengDu City - 610000, China (CN). The parties exclude the application of any conflict of law rule that would lead to a different result.
Where a dispute arises, the parties agree to meet and to try to resolve it in good faith within thirty days of a written notice that describes the dispute. If the dispute is not resolved by that discussion, either party may bring the matter before the competent court at the place of the Company, unless a mandatory consumer or employment rule gives another party a different forum. Nothing in this clause prevents a party from seeking urgent relief where a delay would cause harm.
20. Changes to These Terms
We may update these terms when our services change or when the law requires it. The current version is always the one published on this website, and the date shown in the page header marks the most recent revision. A change applies to a new engagement from the day it is published and to an existing engagement only after we have given the client written notice and the client has accepted the change.
If a change materially reduces the rights of a user of the website, we will describe the change in a short notice at the top of the page so that a returning reader can see what has changed.
21. General Provisions
These terms, together with the privacy policy and any engagement, form the whole agreement between the parties on their subject. A statement made at a meeting or in a message does not add to the agreement unless it is recorded in writing and accepted by both parties.
If a provision of these terms is held to be invalid or unenforceable, the remaining provisions continue in force and the invalid provision is replaced by a valid provision that achieves as closely as possible the same purpose. A failure to enforce a provision on one occasion is not a waiver of the right to enforce it on another occasion.
Neither party may assign an engagement without the written agreement of the other, except to a successor that acquires substantially all of the business of the assigning party. A notice under these terms is valid when it is delivered by hand, sent by a recorded postal service to the address stated in the engagement, or sent by email to the address given for that purpose, with the sender keeping a record of the transmission.
22. Contacting Us
Questions about these terms, a request to discuss an engagement or a notice that relates to a dispute should be sent to the reception desk, which will route the matter to the right person.
